- Advised an investment fund operator on fund formation and regulatory setup, including investment management arrangements, investor terms, investment instruments and onboarding procedures. Designed and implemented the required corporate structure and entities, and supported the licensing/authorisation workstream.
- Advised an asset manager on selecting the optimal jurisdiction and regulatory framework for their intended activities, establishing the local corporate structure, obtaining required government authorisation, and implementing core compliance obligations and operational procedures.
- Advised an alternative investment manager on the end-to-end establishment of a cross-border fund platform, including manager and fund structuring, SPV stack, investor subscription documentation, investment instruments, AML/KYC onboarding flows, and compliance policies.
- Advised a crypto curator on a dedicated financial vehicle and operating framework for deployment of a blockchain-based vault with over US$100m in TVL, including curator activities and relationship with key stakeholders, including custody providers, institutional partners, exchanges.
- Led the corporate, regulatory and legal structuring for an on-chain tokenised index product. This included formation of a bankruptcy-remote structure, designing creation/redemption mechanics for index units, and drafting of the core documentation suite required for issuance, distribution and operations.
- Advised on corporate and regulatory structuring for a liquid tokenised asset management strategy delivered through a yield-bearing stablecoin, including preferred regulatory framing and positioning, product mechanics, and operational frameworks for compliant issuance and ongoing management.
- Advised the client on structuring a prediction markets platform focused on e-sports, delivering end-to-end regulatory and corporate structuring, entity formation, platform documentation, user-facing terms and risk disclosures, and compliance controls aligned to the proposed operating model.
- Advised a blockchain protocol operator on a transaction with a professional vault curator for a series of vault launches, drafting documentation to appropriately frame the platform role, allocate risk, limit the client exposure and liability through precise contractual positioning and disclaimers.
