    Capital Markets & Structured Finance

Aurum’s Capital Markets & Structured Finance practice advises issuers, arrangers, curators, service providers and other market participants on the structuring, establishment and launch of regulated financial products – in both traditional form and through technology-enabled issuance and operational models.

We support clients across leading international financial centres, bringing deep experience in cross-border structuring and transactions where legal enforceability, regulatory characterisation and operational execution must align, whether the instrument is an equity or debt security, a fund interest, a structured product, or a tokenized representation of a regulated financial instrument.

For each mandate, we help develop the go-to-market regulatory strategy, design and implement robust legal and corporate structures (including SPVs and segregated/compartmentalised arrangements where appropriate), and advise on regulatory perimeter, governance, distribution considerations and operational readiness. Where products rely on innovative infrastructure, such as blockchain rails, on-chain settlement mechanics, or curator- and vault-led operating models, we ensure the legal architecture remains institution-grade and execution-ready, supported by an end-to-end strategy spanning regulatory, legal, operational and technology implementation.
